Duties: Help with corporate governance processes, including to prepare, organize and file materials and minutes for board of director and committee meetings, including resolutions, minutes, consents and other documentation as requested, and maintaining the corporate minutes book. Help with officer and director onboarding and offboarding. Support the preparation and filing of SEC filings, including 10-K, 10-Q, 8-K, and annual proxy statement, including assistance with preparation of disclosures and tables, maintenance of filings calendars, and preparation and management of D&O questionnaires. Manage the preparation of Section 16 filings. Support planning and logistics related to annual meeting of stockholders, including managing vendor communication and calendars and preparing meeting materials. Support strategic transactions, including due diligence, data room administration, document preparation, and post-closing integration and administration. Help with preparing and managing compliance with corporate policies, including insider trading compliance policy, and maintain appropriate records. Manage and maintain company's state qualifications, including applying to do business in new jurisdictions and managing annual reporting and other obligations necessary to maintain qualifications. Support equity administration, including managing the review and execution of 10b5-1 plans and preparing and managing the execution of consents for the equity incentive committee. Support the execution and maintenance of different day-to-day legal contracts typical of a biotech or pharmaceutical organization, including confidentiality agreements, master service agreements and work orders, and other vendor and general business contracts; work with the contract team to maintain our software-based contract lifecycle management system, including data entry, quality assurance, report generation, and troubleshooting. Help develop, streamline, implement and maintain processes across the organization, including those related to securities reporting, compliance, equity administration, and contracts. Support general corporate and legal matters and other special projects, as requested, including related to employment, immigration, regulatory matters, risk management, and contract management. Stay current on and educate management and the Legal and Finance teams on new legal requirements and corporate best practices. Help research SEC laws and regulations, Nasdaq rules, and trends and developments in Massachusetts, Washington, and California law.
