The candidate provides advice and consultation to staff and management; participates in decision making relative to legal issues and strategies. Manages legal business matters pertaining to the organization. Provides a variety of general corporate and commercial legal services to a number of in-house clients. Acts as advisor on legal issues involving the organization’s government and regulatory compliance. Reviews legal data and advises organization on appropriate legal action to be taken. Coordinates legal matters handled by outside counsel. Demonstrates experience in general corporate matters, including corporate organization, drafting and negotiating transactional documents, license agreements, employment law, data privacy, risk management, intellectual property, and contract management. Ensures consistent contracting practices throughout the Company. Advises management regarding policy and procedure revisions based on changes in laws and regulations. May serve as lead attorney, as needed. Provides legal counsel on terms and conditions for proposals, sales contracts and government contracts; ensures compliance with governmental regulations. Provides routine and ad hoc reporting on significant legal issues and procedures. Coordinates with other Framatome companies to ensure consistent terms and conditions for joint bids/agreements. May work with outside counsel to determine litigation budgets and to assist in monitoring related invoices and expenses. Bachelor of Laws (LBB) or Juris Doctorate (JD) from an accredited law school plus 18 months to 3 years of related work experience. In addition, must have passed the appropriate state bar exam and be licensed to practice law. Must be capable of obtaining Virginia Bar membership or registration with the Virginia Bar as corporate counsel registered in another jurisdiction. Thorough understanding of various products and services marketed by the company. Proven leadership in negotiating needed terms and conditions while minimizing risks to the Company. Demonstrated advanced legal knowledge and counsel. Excellent written and verbal communication skills. Contract, M&A, Intellectual Property or other business transactional experience preferred. Government contract experience a plus.
