General Counsel

The candidate will be : Negotiating and drafting Company Agreements, including commercial and financial transactions, customer agreements, distribution partner agreements, employment and consulting agreements, and other company agreements; Providing communication and advice pertaining to the company’s requirements and obligations under its agreements with investors, partners, employees and vendors; Maintaining and tracking company agreements; Managing and implementing Corporate Governance activities (e.g., corporate secretary functions, corporate compliance for the Board of Directors, etc.), and stockholder communications and compliance; Executing and managing Litigation and Risk Management, including intellectual property protection, privacy compliance, employee legal matters, new business initiatives; threatened and actual litigation or other legal proceedings; Executing and managing Intellectual Property, including timely filings, management of company’s intellectual property portfolio, and working with business units to ensure intellectual property is protected; Actively participating in Financings and Corporate Development, including manage investors, Board and company throughout financing process; organizing due diligence; advising on deal structure; drafting and managing deal documents; conducting negotiations; overseeing finance and securities law matters; Overseeing the reporting of legal activity metrics.
