Senior Corporate Counsel
The candidate builds and manages a strategic relationship with the SBA. Helps General Counsel oversee corporate legal and government affairs functions, including legal research, litigation, review, drafting and consultation on a variety of matters affecting regulatory and legislative issues for UIC and its Government and Commercial subsidiaries businesses. Advises subsidiary and holding company presidents/general managers on SBA and other federal regulations. Manages and ensures subsidiary and holding company compliance with SBA and other regulatory requirements, as well as UIC-defined operational guidelines. Assignment and management of NAICS codes to subsidiary companies, as well as monitoring and management of non-8(a) revenue requirements for 8(a) subsidiary companies as those companies progress through the 8(a) program. Strategizes with executive leadership in regard to the creation of new companies within each business line, mainly for the purpose of optimizing the SBA's 8(a) program. Serves on the UIC Corporate Due Diligence Team (creation of new companies, joint ventures, mentor-protégé arrangements and acquisitions) and Corporate Strategic Committee (oversight of UIC's 8(a) company compliance). Oversees and manages the application process for certification in the SBA programs, as well as other small business certifications such as Disadvantaged Business Entity (DBE) certification with the Alaska Department of Transportation (DOT) and other State DOTs and serves as one of the company’s POCs with UIC's assigned Business Opportunity Specialist (BOST) at the SBA. Serves as a resource on ANCSA, Alaska Native Corporation Law and Federal Indian Law and advises executives on any relevant changes. Collaborates with the UIC General Counsel on designated litigation matters and strategy, ensuring timely updates and reports to executive staff and auditors as appropriate. Conducts legal research and drafts legal memoranda, briefs, contracts and other legal documents in support of operations and projects and addresses any legal questions or issues affecting UIC in a responsive and timely manner. As needed, oversees and manages assigned outside attorneys, providing direction, guidance and professional oversight including coordination and delegation of legal research and writing and oversees the completion of those tasks. Serves as the in-house legal point of contact to outside counsel representing UIC and its family of companies and internal stakeholders in regard to federal government contracting matters, including contract review, awards and bid protests. Manages standard corporate legal functions including but not limited to, business licensing, government contractor registration, drafting of operating agreements and Consent-to-Actions (CTAs), and contract review/administration. Represents UIC in administrative proceedings, negotiations, and litigation when outside counsel is not used. Oversees and assists with the drafting and review of internal policies and procedures as required. Collaborates with General Counsel in the administration of the UIC Business Ethics and Integrity Program. Collaborates with executive leadership to provide guidance and legal advice regarding employment related claims. Stays informed on the political climate in both Alaska and Washington, DC, particularly any new legislation that may affect UIC. J.D. from an ABA accredited law school is required. Should have 5+ years of experience in the practice of corporate law, preferably in support of federal contractors and SBA small businesses, including but not limited to regulatory compliance and litigation management. Experience with employment law, to include interacting with external parties towards claims resolution is required. Should have an actively license Member of Bar Association. Working understanding of the compliance requirements for UIC's types of Government Contracting and strongly preferred SBA 8(a) and Alaska Native Corporation or Native American legal experience.
