The Senior Counsel provides a full range of legal advice and services. The Senior Counsel works on problems of diverse scope and complexity ranging from moderate to substantial.
Responsibilities
Humana's Law Department is seeking a Senior Counsel to assist in general corporate matters, particularly mergers, acquisitions, and joint ventures, with specific focus on acquisitions that support Humana's key business goals of deepening relationships with providers of care, that promote care where members need it, and help us approach our business in a consumer and provider sensitive manner. Transactions include acquisitions of public and private company targets, strategic joint ventures, and divestitures of selected assets, and the role will include structuring, drafting and negotiating documentation to support these transactions.
The successful candidate will also have the opportunity to support Humana and its management by:
Assisting in legal and compliance matters relating to the Board of Directors, Corporate Governance matters, various holding company and insurance company regulations, and the regulations of Sarbanes-Oxley, the Securities and Exchange Commission (SEC), the New York Stock Exchange for a Fortune 75, publicly traded, NYSE-listed company.
Assisting in the preparation of SEC filings/reports, assist in the Corporate Governance Program, build/maintain cross functional relationships with key business partners, prepare/draft agreements to comply with state regulatory compliance matters, analyze equity compensation plans and issues, and oversee preparation/maintenance of corporate records (charters, bylaws, board minutes, biographical affidavits).
Providing counsel on the ongoing business relationships between Humana and its strategic partners.

Location: Louisville is highly preferred but not required.
Required Qualifications
Juris Doctorate Degree
Minimum of 4-7 years General Corporate and Transactional Legal as related to mergers & acquisitions.
License to practice law in Kentucky, New York, or state of primary residence, or eligible for licensure through reciprocity.
Experience in a Law Firm or Corporate Legal Department.
This role requires a high degree of initiative, good judgment and discretion.
Skilled facilitator with highly evolved organizational and communications skills.
Ability to work both independently and collaboratively as part of a larger team, and will have worked with senior level staff and will be able to demonstrate professionalism.
Ability to work in complex organization with diverse clients at all levels of the company.
Preferred Qualifications
Securities law experience preferred but not required.
