Lead Counsel - Commercial Sector
Duties: Responsibility for all legal outcomes facing ICF’s commercial sector businesses, including coordinating with other in-house and external counsel, to develop pragmatic legal and business solutions. Advising ICF’s internal Contracts, Subcontracts, Procurement, Human Resources, Finance, and other corporate teams in their review of client-related engagements, including contracts, subcontract documents, teaming arrangements, joint venture and non-disclosure agreements, as well as other business arrangements in support of ICF’s commercial, state and local, NGO, or inter-governmental clients. Providing strategic legal advice to ICF business and Contracts professionals on client procurement matters, complex or challenging client engagements, challenges to procurement decisions, client and subcontractor disputes, meeting client regulatory requirements, and helping to defend the company’s business and legal interests. Managing and working with other internal and external counsel to manage and resolve disputes, demands, claims, and legal resolutions that may arise within the businesses in the commercial sector. Providing some expertise and leadership, across ICF, in counseling or facilitating counsel of internal business clients across a range of IP, technology, and licensing needs for the business including advising ICF leaders and Contracts professionals on IP and technology-related agreements with commercial and government clients, suppliers and others, such as software, service and licensing arrangements. Providing high-level employment law advice, restrictive covenants, and coordination of employment-related legal matters with employment counsel and ICF’s internal Human Resources team, as appropriate. Managing and assisting in the consideration and assessment of ICF’s roster of external counsel related to across specific business or project requirements and intellectual property and technology-related legal matters. General support to the overall execution of the ICF Ethics and Compliance program, particularly in relation to complicated regulatory areas facing the commercial business. Staying current on assigned regulatory and legal issues affecting the company, including those facing clients such as public utility or disaster management clients, or regulated commercial clients. In coordination with other internal and external counsel, managing the protection and development of ICF’s IP portfolio, including proactively identifying and developing IP and working closely with internal clients and outside counsel to prepare, register or file, and pursue protection for patents, copyrights and trademarks when necessary. Improving policies, procedures and/or processes related to the deployment of technology and technology-enabled services, and development, procurement, deployment, and protection of IP and other technology. Supporting management of IP-related litigation matters through internal or external litigation counsel. Occasional assistance or coordination with external counsel in legal advice to ICF’s internal teams in their review of potential cybersecurity and data breaches or incidents. Some assistance in managing cross-border legal matters and providing legal and governance support to remote ICF offices, including identification of requirements for legal entity registrations and other legal requirements in new jurisdictions. Supporting corporate transactional matters, including M&A due diligence and integration activities and coordinating corporate governance matters.
