In-house Legal Counsel
The candidate is responsible for the legal services related to risk management and contractual matters for Company Senior Living. Will focus on providing day to day legal advice and support to Operations and other managers, as well as support enterprise-wide risk management, real estate transactions and finance matters across the real estate portfolio. Legal Services and Risk Management: Maintain relationships with insurance brokers and underwriters to renew and maintain the insurance portfolio. Oversee insurance claims through paralegal and asset managers. Responsible for managing litigation, including managing outside counsel, and participating in mediations, arbitration, and informal claims settlement. Assess and advise on legal and regulatory risk trends and exposures, including chairing the intradisciplinary Risk Management Committee. Keep current with new legislation and regulations pertaining to the senior living industry. Responsible for overall vendor contract review and management systems. Evaluate practices and processes with respect to compliance issues and recommend changes. Serve as legal contact for all matters pertaining to Federal and State laws and regulations. Register and maintain affiliates’ service and/or trademarks. Monitor and respond to suspected infringement. Provide compliance oversight of business activities, web language compliance, oversight of online documentation up-dating and implementing audit and compliance procedures. Provide legal consultation to the management staff at off-site locations. Conduct internal audits and investigations when needed. In collaboration and close coordination with Company’s acquisitions, development and finance teams, the following in support of real estate transactions: Work with local counsel, responsible for drafting, reviewing, and negotiating financing, land use, and other agreements related to senior living communities and related assets. Work with local counsel, reviews closing documents, closing instruction letters, settlement statements and updated title reports for land acquisitions. Work with local counsel to perform title, survey, and other due diligence review on potential acquisitions and development projects. Work with local counsel, manages and performs the legal aspects of closing senior living transactions including acquisitions and development and with joint venture financial partners. Support the Company in the development of relevant corporate legal entity structures to support the growing business needs. Juris Doctorate from a nationally recognized law school required with excellent academic credentials. 8-10 years of experience practicing law and must be a licensed attorney in good standing in a US jurisdiction. Prior in-house counsel experience preferred. Strong preference to have experience with and knowledge in the operations of senior living communities or similar healthcare businesses and the risk landscape of the industry. Litigation management experience preferred. Strong negotiation, legal drafting, and analytical skills. Experienced in negotiating and closing real estate acquisition and financing transactions preferred.
