Assistant General Counsel
Duties: Provides legal counsel and guidance to administration and other personnel on hospital matters involving legal problems related to research administration in accordance with the rules of the Supreme Judicial Court and the applicable rules and regulations of the Massachusetts Bar. Appraises and keeps the Research Operations management team informed of proposed and new legislation and administrative and court decisions pertinent to the research operations of the hospital. Communicates new, updated and changed external and institutional regulatory policies and procedures to research community. Drafts, reviews, and negotiates contracts related to research operations, including interpretation of law and regulation, independently. Supervises and coordinates the performance, and work activity of the Contract Specialist. Reviews, drafts negotiates and provides legal guidance for non-clinical agreements, including Material Transfer Agreements, Collaborative Research Contracts, Subcontracts for federal, industrial, and non-profit sponsors and academic institutions. Coordinates as needed with Office of Corporate Counsel, and consults with the technology transfer department on intellectual property and licensing issues, and with the IRB on human subjects' compliance issues. Assists in the training and education of department research in the areas of sub-recipient compliance, contract compliance, and other policies and procedures as required by Research Operations senior leadership. Develops training materials and conducts, or participates in, in-service education and training seminars on a variety of legal issues for management, employees and physicians. Serves as institutional legal liaison to outside counsel, funding agencies and outside organizations on complex research compliance matters, as required. Attends and participates in local, state and national conferences related to health care law and research administration, including contracting, technology transfer, and federal/state compliance. Communicates knowledge gained at conferences and seminars to staff. Provides operative guidance to research staff to ensure uniform adherence to applicable federal, state, and local government forms, regulations and guidelines, as well as to institutional policies and procedures and where possible recommends changes for improvement. Assures internal compliance with BMC sub-recipient monitoring policies and procedures, and with other Federal Uniform Guidance requirements as part of the annual internal single audit process. Develops and prepares qualitative and/or quantitative reports to support internal processes and filing deadlines, such as weekly contract and sub-award metrics information. Maintains an effective working relationship with institutional contacts, including senior managers and physicians. Participates in continuing professional development activities, such as seminars and conferences, to keep abreast of legal developments and changes in the regulatory environment. Maintains membership in appropriate professional organizations. Meets hospital-wide standards in the following areas: Conforms to hospital standards of performance and conduct, including those pertaining to patient rights, so that the best possible customer service and patient care can be provided; Utilizes hospital's Values as the basis for decision-making and to facilitate the division's hospital mission; Follows established hospital infection control and safety procedures. Participates as needed on special projects assigned by Director of Grants and Contracts, Research Operations Senior Leadership, and/or the Office of General Counsel.
