A law firm in Cleveland, OH, seeks a Tax and Transactional Associate Attorney to provide specialized tax planning, compliance, and advisory services. This role focuses on real estate and business transactions, offering strategic legal counsel to high-net worth clients and participating in complex legal matters.

Duties:

• Provide expert tax advice and strategic planning for real estate transactions, including acquisitions, dispositions, financing, and development projects.
• Develop intricate partnership agreements and LLC operating agreements tailored to client needs.
• Advise on tax implications related to mergers, acquisitions, and business organizations, ensuring compliance with federal, state, and local tax laws.
• Conduct comprehensive research and analysis of complex tax issues, staying abreast of evolving tax legislation and regulations.
• Prepare and review tax-related documents, agreements, and filings to ensure accuracy and compliance.
• Collaborate with attorneys, accountants, and financial advisors to devise comprehensive solutions for clients.
• Assist in structuring investments, corporations, joint ventures, LLCs, and partnerships from a tax perspective.
• Support tax due diligence and risk assessment for real estate and corporate transactions.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the State Bar of Ohio and in good standing.
• Minimum of 3 years of experience as a tax attorney with a focus on real estate and business transactions.
• Demonstrated ability to provide strategic tax advice in complex transactions.
• Strong analytical, research, and problem-solving skills.
• Proficiency in Microsoft Word and Excel; familiarity with tax software is advantageous.
• Exceptional organizational skills with the ability to manage multiple projects in a fast-paced environment.
• LL.M. in Taxation or equivalent advanced degree preferred.
• Background in accounting or finance is desirable.

Experience:

• 3+ years of experience as a tax attorney, specializing in real estate and business transactions.
