The candidate will be responsible for completing regulatory filings to comply with SEC, NYSE and state requirements, including Section 16 filings for executive officers and the Board of Directors, as well as working on corporate governance documents. Assist attorneys in the preparation of SEC filings, such as Form 10-K, Form 10-Q and Section 16 documentation (Forms 3, 4 and 5). Assist attorneys in debt and equity securities offerings. Heavy involvement in the annual meeting process, including assistance with the proxy statement. Prepare spreadsheets for various purposes, including use in connection with the annual meeting and Section 16 compliance. Assist attorneys in the preparation of corporate governance documents (policies, charters, etc.). Research, analyze and document complex legal issues. Assist attorneys in the corporate secretary function, including the preparation of minutes, resolutions and other materials for the board of directors.
