POSITION SUMMARY

The Director of Compliance will be the architect and steward of Samuel’s enterprise compliance program with a specific focus on developing policies and procedures relating the Samuel’s government and defense business.   Based in Chicago and reporting to the General Counsel, the Director of Compliance will manage a team in Chicago and will also work closely with Samuel’s executive management team, board of directors and internal audit team to develop, plan, implement and monitor Samuel’s compliance program with particular focus on Samuel’s operations in regulated industries, including aerospace, defense and government contracting.This is an important leadership role.  The Director of Compliance will be expected to coach, teach and guide his/her team and colleagues across the enterprise as Samuel continues to build its compliance program.The Director of Compliance is expected to operate independently on a day-to-day basis. Direction is often received only at the most conceptual level, requiring the role to conduct considerable research to develop the parameters of an issue before strategies to respond are developed.A very high level of autonomy is required, with the Director of Compliance required to exercise judgment to balance the necessity of timely responses to pressing issues with the requirement to support the interests of business stakeholders while ensuring compliance with the regulatory regime and ensuring overall protection from the reputational risk associated with non-compliance.The Director of Compliance will play an integral role in promoting a culture of ethical leadership and compliance.

KEY ACCOUNTABILITIES

Program Development and Implementation

  • Develop robust program to ensure compliance in the government and defense sector, including compliance with DFARs, FARs, EARs and cybersecurity requirements such as NIST.
  • Develop and implement regulatory tracking processes to ensure that the businesses remain aware of regulatory requirements and are able to develop operational or system responses in a timely manner.
  • Responsible for the quality of the Samuel’s enterprise compliance program. In this regard the role must deliver: (i) oversight and direction on controls and business unit standards, (ii) education, training and guidance, (iii) management of the business unit's response to situations where requirements are contravened (either intentionally or inadvertently); and (iv) advice and counsel to business units, including with respect to regulatory developments and best practices.

Policy Development

  • Responsible for leading the development, implementation and management of policies, procedures and governance systems for assigned reputational risks.
  • Responsible for the management of escalated employee complaints, internal audits (for issues relevant to compliance), external audits and regulatory reviews of the business.

Monitoring

  • Supervise monitoring and surveillance of compliance; responsible for follow-up and resolution of issues identified from such processes.
  • Conduct and/or supervise compliance reviews.

Business Strategy

  • Requires active and ongoing relationship management with executives, senior business unit management and key stakeholders.
  • Will have a significant role to play in the evaluation and due diligence of any strategic investment or acquisition contemplated by Samuel.   The role is expected to assess the quality of controls at potential targets, and look for and identify significant issues based on the available due diligence materials.

QUALIFICATIONS

  • JD degree Mandatory.
  • Minimum of 10-12 years’ experience and in-depth knowledge of regulatory and related risk management requirements and best practices for the industrial and manufacturing sector, particularly in the United States and Mexico;
  • Understanding of applicable regulatory and reputational risks with a view to preparing operational cost-benefit analyses as part of any major regulatory change initiatives;
  • Must have experience in developing and implementing compliance systems for defense and government contracts (including knowledge of FARs, DFARs, NIST and ITAR requirements);
  • Experience developing and managing governance systems, developing and managing training initiatives across a diverse employee population.
  • Fluency in English required; fluency in Spanish would be an asset
  • Ability to travel up to 30% while building an understanding of the business operations and building relationships with key stakeholders.

  • The ability to concisely present concepts, project details and status reports to senior executives and stakeholder groups;
  • Charismatic and influential – can negotiate and gain organizational buy-in - knows when to influence and when to mobilize;
  • Credible – has “been there and done that” approach; and
  • A hands-on person who is non-theoretical;  patient, tenacious and energetic.
