Senior Corporate amp Securities Associate

Profile

Diamond Law is seeking a  California based, remote, full time senior associate with 5+ years' relevant experience. Candidates should work well in a tight-knit team of inter-disciplinary lawyers and communicate effectively with clients, including calls, video conferencing and emails.

Position entails structuring various transactions and then drafting and negotiating the associated documents, along with general corporate and securities work, including:

• Financings, including equity financings, convertible notes, S.A.F.E.S. and secured transactions
• Mergers & Acquisitions
• General Corporate & Securities, including managing minute books and maintaining capitalization tables
• Operating Agreements and Joint Venture Agreements
• Employment and Consulting Agreements
• Operating Agreements and Joint Venture Agreements
• Fund/Limited Partnership Agreements
