Legal Counsel
The candidate will support the management and implementation of the firm's many public health programs by providing strategic advice and support on all aspects of the firm's operations. Oversee the organization’s contractual relationships. Draft and negotiate contracts, subcontracts, amendments, contract extensions. Provide legal guidance to support grant manager and project staff in structuring projects. Provide guidance and support to staff to administer contractual relationships, including non-performance, termination, and contract disputes. Advise the organization on corporate strategy and best practices. Provide senior management with effective advice on organization strategies and their implementation. Remain current on pertinent laws and regulations affecting the organization (non-profit, human resources, and corporate governance law), and ensure that the organization is in compliance with all applicable laws and regulations. Provide guidance on business structure, the organization’s legal classifications, and regulatory requirements. Provide guidance on board and corporate governance requirements. Provide risk assessment counsel. Provide guidance and support on employment and labor issues. Stay current on developments in employment law, and provide guidance and advice on best practices for implementation. Provide guidance and advice on employment issues, including terminations, harassment investigations, conflicts of interest, or other issues. Develop and maintain internal processes, policies, and procedures. Consult with staff on necessary contractual interrelationships, including advising on best practices, streamlining processes, and developing administrative and larger corporate policies and procedures. Provide guidance on federal, state, city requirements for procurement, contracting, and grants management. Update, interpret, and advise on compliance of internal policies. Serve as a resource for informed decision-making and creative problem-solving. Select, retain, and manage outside legal counsel. Due to relationship with DOHMH, understanding of how to guide and work with a nonprofit staff that partners with a large city agency. Law degree from an accredited law school is required. Should have 8+ Experience working in or for a non-profit, providing legal advice in the context of grant funded programs or providing in-house counsel related to risk assessment. Should have 8+ Experience in contract law, contracting and procurement requirements, and/or federal and state regulatory requirements related to grants management.
