Corporate Securities Attorney
The candidate should have 5+ years of experience. Must be currently licensed in Virginia. Should possess significant experience with general corporate and transactional matters such as securities law, mergers and acquisitions, private equity transactions, venture capital, entity formation, and contract analysis. Should include a majority of: general corporate and transactional representation, with an emphasis on securities law, M&A, corporate structure and governance, and contract matters; representing issuers in private capital markets transactions, including debt financings and private equity placements; advising clients in mergers, acquisitions, reorganizations and restructurings; and preparing shareholder, partnership and operating agreements. Investment Company Act and Investment Advisers Act experience is a plus. Must be meticulous with details and be able to work effectively as part of a team while also being able to assume individual responsibility for client matters involving direct client interaction. Strong analytical, interpersonal, and communication skills are required. Should possess a drive for excellence and willingness to take initiative to solve problems.
