The candidate will assist lawyers in the Corporate Practice Group including, drafting Delaware and California incorporation, foreign qualification, and corporate organization documents. Maintain corporate minute books, stock books, stock ledgers, and capitalization tables. Administer stock option plans and maintain security holder files and accurate capitalization, and sustain 701 compliance. Recognize, research, determine, prepare, and file blue sky security filings. Facilitate and support the closing of venture capital financings and M & A transactions. Collect, organize, and verify the accuracy and completeness of diligence documentation and audit letters. Bachelor's degree is needed. Should have 3+ years of experience as a Corporate Paralegal, preferably in a major Silicon Valley law firm. Paralegal certification or equivalent required. Working knowledge of the Securities Act of 1933 and 1934, Delaware General Corporation Law, and California Corporations Code is essential.
