Corporate Paralegal
The candidate will take responsibility for global entity management, including Preparation and filing of annual and quarterly reports, annual accounts, and financial statements and Preparation of board and shareholder resolutions, unanimous consents, powers of attorney, director certificates, and assistance with the preparation and maintenance of corporate minute books and other recordkeeping. Oversee board of director appointments and ongoing governance and compliance. Coordinate related party compliance for executive officers. Work with outside vendors and law firms on entity management issues. Maintain the company’s organizational chart, legal entity management system and corporate records. Support of internal teams with entity information, signing authority, board approvals, beneficial ownership information, know-your-customer information, or other requests. Section 16 compliance, including preparation and filings of forms with EDGAR, maintaining ownership records and EDGAR codes for the Company’s officers and directors. Legal support for the Company’s equity plan administration. Assist with intercompany transactions and related documentation, coordination of corporate transaction closings, and another commercial, compliance, and treasury and financing activities or other research assignments, as needed. Support due diligence and closing processes for financing and other critical transactions, as needed.
