Corporate Counsel

Responsibilities: Preparing and reviewing a range of securities law filings and advising on disclosure matters, including review of earnings announcements, press releases and other investor communications. Assisting in the preparation for board, committee and stockholder meetings, including drafting of materials and ensuring compliance with applicable SEC and NYSE corporate governance requirements. Providing counsel regarding a range of transactional matters, including acquisitions (both domestic and international), divestitures, joint ventures and other business development activities. Supporting the corporate finance department on a variety of matters, including domestic and international financing transactions. Supporting the oversight of subsidiary corporate governance. Proactively monitoring and communicating legal trends, industry standards and best practices for topics that could affect the company. Assisting in the development, execution and administration of policies, process improvements, and training for business clients. Facilitating cross-functional relationships and decision making among the legal team and other internal teams, including the finance, business development, HR and communications teams.
