Responsibilities: Advise internal partners on and support merger and acquisition activities and other critical corporate development initiatives. Coordinate and build relationships with cross-functional teams, including finance, tax, people, corporate development, and others to support corporate transactions and initiatives. Supervise and implement due diligence activities. Support and/or advise on other corporate governance, securities law and general corporate law matters. Work on antitrust compliance issues, including HSR filings and governmental responses. Assist with registered and unregistered debt and equity offerings and repurchase programs and lead compliance requirements. Draft, review and negotiate commercial contracts, including confidentiality, vendor and partnership agreements.
