Intellectual Property Attorney - Digital / Software
Duties: Leading IP Contact for Global Digital Programs and all programs that are governed under Carrier’s Accelerated Software Governance (ASG) process, including providing strategic advice on IP requirements, reviewing programs with engineering to ensure patent and trade secret disclosures are made to the IP department on new innovations, reviewing and communicating freedom to operate results with engineering and program managers, and managing contracts ancillary to the Global Digital Programs. Creating a center of excellence for software-related matters including open-source software used in Carrier products and software distributions, SDK agreements, EULAs, and Carrier WHQ software licensing agreement review, including the creation of standard work, standard processes, and uniform agreements, and participation on Carrier’s Software Review Board and providing counsel on adverse issues arising from such matters. Providing IP support for Carrier Headquarters and Americas business initiatives including drafting, negotiating, and advising on various software-related agreements, development agreements, technical services agreements, and licenses such as end-user and reseller/distributor license agreements. Providing counsel to Carrier management and business general counsel on business agreements with IP-related provisions such as supply agreements, distribution, sales and service contracts, and divestiture and acquisition agreements. Reviewing current Intellectual Property Department tools and processes and working with members of the Intellectual Property Department with the goal of continuous improvement of department processes and identifying and recommending new processes and tools, as needed for department efficiency and to service client/customer needs. Creating and providing training for engineering, technical and other personnel on intellectual property-related issues, processes, and policies, with the goal of strengthening such personnel’s intellectual property knowledge base to minimize intellectual property-related escapes and risk. Striving to independently resolve issues arising in the area of responsibility but consulting with peers, IP Counsel, and general legal counsel when appropriate.
