Corporate Paralegal
Duties: Work with the General Counsel and legal team during all stages of corporate transactions. Draft corporate filings and related minutes, resolutions, waivers, approvals of action and similar documents. Maintain corporate books, stock certificates, stock ledgers, etc. Working alongside legal counsel, prepare documents necessary to further business activities; drafting, review, negotiation, and revision of various types of agreements, including: Airport leases and subleases, Joint venture (LLC) agreements, Franchise and brand license agreements (national and local brands), Design and construction contracts, Procurement contracts, including distribution, purchasing and supply agreements, Vendor (services) agreements, including HR-related agreements, Consulting and professional services agreements, Acquisition and sale agreements, Property agreements, including office leases and other leases, Information technology agreements, Confidentiality agreements. Work with and respond timely to the needs of internal and external stakeholders in the areas of Business Development, Operations, Procurement, HR, Information Technology, Marketing, Culinary and Design & Construction in an advisory, strategic, and collaborative role. Support licensing team in successfully navigating licensing requirements and application processes. Prepare flow-down provisions for service providers. Develop a strong partnership with internal business teams. Work in a cost-effective manner with outside counsel, as necessary. Investigate and work alongside legal counsel toward the resolution of disputes/complaints in accordance with contractual requirements. Maintain communication regarding the status of contract negotiations and other actions with all stakeholders in accordance with organizational protocols and standards. Maintain contract information for organizational purposes in accordance with organizational policy and procedures. Conduct legal research as required to provide guidance on contract compliance and legal/regulatory requirements.
