Responsibilities: Consistent with DLA’s protocols, contract (including physician, clinical education, clinical research, services agreements, and supply chain purchase agreements) drafting and review. Monitor and manage all aspects of complex projects including transactions, investigations, and litigation. Draft and manage various DLA forms and policies. Become familiar with and able to independently utilize Legal Tracker, iManage, and various other platforms and document management systems used by DLA. Refine issues such that the attorney can focus her/his attention on providing legal advice and counsel to clients. Request needed documentation and information from clients to ensure that the attorney has all necessary information/material prior to beginning their work/analysis/review. Assist attorney in tracking ongoing matters and prioritizing the same. Field calls from clients when requested by the DLA attorney (or when the said attorney is not available). As requested, review existing DLA documents/database to determine if preexisting analysis or other work product is available to address a current legal request. Communicate directly and through correspondence with high-level internal and external customers. Develop, prepare and/or assemble necessary materials for meetings and presentations. Compose, edit and proofread a variety of correspondence, memos, presentations, and materials, and directly handle within the assigned scope of authority, knowledge, and understanding of the activity. Complete legal research as requested by the attorney, including Internet and other forms of computerized research. Assist in maintaining DLA’s website to include keeping model documents and other content located therein current. Facilitate the collection of the Firm St. Joseph Health regional/local information as necessary for various purposes including updating/reflecting any changes/revisions thereto for DLA. As requested, act as first-line reviewer of legal invoices. Participate in document review as necessary to support various legal matters. Special projects as assigned. Enhance own professional growth and development through participation in educational programs, review of current literature, in-service meetings, and DLA-organized CLE offerings. Maintain strictest confidentiality, trustworthiness, and integrity at all times.
Practice Area Specific Responsibilities: Draft, review, and provide guidance on a wide variety of physician agreements, including management of the processing of such arrangements. Draft, review and negotiate clinical education/affiliation agreements. Draft or review Non-Disclosure Agreements, letters of intent, and other agreements. Assist with intellectual property matters including copyright, trademark, and patent filings. Prepare Business Associate Agreements as requested. Assist clients with vendor contracting and pre-litigation disputes. Manage conflict waiver requests and ensures they comply with established requirements for reviewing and considering such requests. Manage and monitor matters relating to Medical Staff, including facilitating the provision of legal advice to clients regarding issues such as Peer Review, credentialing, Board Investigations, and miscellaneous complaints. Provide support for governmental inquiries, civil investigative demands, other regulatory investigations, and various components of litigation. Maintain knowledge of various federal and state healthcare laws including Stark Law, Anti-Kickback Statute, False Claims Act, Medicare and Medicaid billing rules, HIPAA-HITECH, and EMTALA. Provide support for regulatory filings including certificates of need.
