A law firm located in Fort Wayne, IN, is seeking a Corporate Securities / Capital Markets Associate Attorney with 2-5 years of experience in corporate law, specifically in the areas of securities law advice and capital markets transactions. The successful candidate will play a key role in providing legal counsel on securities, corporate governance, public company reporting obligations, and various aspects of capital markets, including public securities offerings, SEC compliance, and debt and equity markets transactions.

Duties:

• Provide expert legal advice and guidance on securities law, public company reporting obligations, and corporate governance to clients.
• Assist in the structuring and execution of public securities offerings and capital markets transactions.
• Advise on SEC compliance requirements and ensure that clients meet regulatory obligations.
• Lead due diligence teams and manage specialists to ensure comprehensive and accurate due diligence processes.
• Draft and review various legal documents, including securities offering documents, prospectuses, and corporate governance materials.
• Collaborate with clients and internal teams to develop and implement strategies for capital market transactions.
• Stay updated on evolving securities laws and regulations and provide proactive recommendations to clients.

Requirements:

• 2-5 years of experience in corporate law with a focus on securities and capital markets.
• In-depth knowledge of public company reporting obligations, SEC compliance, and corporate governance requirements.
• Proven experience in executing debt and equity markets transactions.
• Strong expertise in advising on securities matters and drafting legal documents.
• Excellent written and verbal communication skills.
• Superior academic credentials, including a Juris Doctor (JD) from an accredited law school.
• Strong problem-solving abilities and attention to detail.
• Ability to manage multiple assignments effectively with minimal supervision.
