General Counsel
The candidate provides guidance, legal opinions, and legal memoranda to all levels of management on legal compliance and regulatory issues. Develops strategies, systems, and processes that will minimize the sources and degree of risk faced by the company on a daily basis while maintaining business objectives. Reviews and participates in the development of or providing input on strategic plans, risk policy and risk tolerance, annual budgets, and business plans. Reviews, drafts, and negotiates a high volume of contracts, including physician agreements, real estate leasing/purchase agreements, employment contracts, software licenses, and financing agreements, while collaborating with internal staff and outside counsel, as necessary. Prepares or reviews documentation related to financial transactions and corporate governance documents. Responds or assists in responding to patient complaints, subpoenas, malpractice claims, and governmental audits and inquiries. Develops, drafts, reviews and updates transactional documents associated with dispositions and financing. Provides expertise and guidance on Stark law, Anti-Kickback statute, legal compliance, cyber incident planning, cyber contingency planning, and audits regarding same. Provides due diligence and definitive agreements for transactional matters. Works closely with internal and external stakeholders to define a strategies and contingencies on legal actions taken against or filed on behalf of the company. Reviews, drafts, negotiates, and executes business agreements, contracts, licenses, and other legal agreements with partners and vendors. Advises and supports company on debt financing initiatives, including, negotiating lines of credit, bond financings, and New Market Tax Credit transactions. Assesses and advises on current and future business structures and legal entities. Advises on patient-related issues, including patient consent, ethics, and privacy related issues. Oversees the selection, retention, management, and evaluation of outside counsel. Collaborates with peer teams with respect to their objectives as they relate to legal or regulatory considerations (e.g., compliance). Remains abreast of relevant laws and regulations impacting the healthcare industry. Maintains working knowledge of and provides legal guidance on special regulatory issues impacting Federally Qualified Health Centers (FQHCs) including, but not limited to, health center compliance, Health Insurance Portability and Accountability Act (HIPAA), Federal Tort Claims Act (FTCA) and Federally Supported Health Center Act (FSHCA). Drafts and reviews policies and forms, as necessary. Conducts legal research, as necessary. Attends and contributes at departmental meetings, Board of Directors, and committee meetings, and attends external meetings, groups, or events as appropriate to the scope of the position and/or as assigned. Other work-related tasks as assigned. Responsible for maintaining abreast of and in compliance with all HIPAA regulations and requirements. Ensures compliance with all local, state, and federal regulations. Participates as required in QA/QI activities and contributes towards the overall quality improvement initiatives of the organization. Provides appropriate support for required regulatory events such as the Health Resources and Services Administration (HRSA) Operational Site Visit (OSV), The Joint Commission and other audit events as requested.
