VP-Legal & Assistant Secretary
The candidate will support the General Counsel in providing leadership for key elements of the Company’s Legal Department responsibilities, particularly in the areas of corporate, securities, and compliance matters. SEC reporting, corporate governance, proxy statement preparation, annual stockholder meeting matters, listing matters, general corporate law, corporate secretarial and related public company obligations. the development, maintenance and implementation of the company’s corporate governance policies and compliance programs, including matters relating to insider trading, Sarbanes-Oxley, business ethics, FCPA, related party transactions, etc.; reviewing and advising on material external communications. supporting the Company’s executive and director compensation programs. Ensuring compliance with, and providing counsel on, the Company’s credit facilities and other banking agreements, including management of amendments or new facilities; and providing support in other key functional areas such as tax, employee benefits, insurance, and litigation. Manage the attorneys and other team members responsible for the company’s transportation and operations functions, real estate, environmental, equipment leasing matters, customer and vendor contracts, intellectual property, and other key areas, and provide internal support on these matters, including monitoring quality and efficiency and being responsible for development, coaching and feedback. Work collaboratively and responsively with a broad range of colleagues in finance, accounting, treasury, human resources, operations, internal audit, tax, real estate, and other departments to facilitate a coordinated team approach. Engage, communicate with, and manage outside counsel, as appropriate. Ensure relevant company policies are updated as needed to ensure compliance with laws and best practices. Perform other relevant duties as assigned. Law degree from a well-respected law school and admission to the Kansas bar or eligibility for admission thereunder. Ten (10) or more years of corporate and securities law experience in a medium-to-large law firm or corporate legal department. Experience with, or desire to develop knowledge and skills in debt financing, executive compensation, employee benefits, litigation, real estate, transportation, tax, and other areas. Good judgment, a high level of professional integrity and a positive “go-getter” attitude. Strong leadership skills. Proven leader with experience in managing teams and able to effectively motivate and inspire a team. Strong problem-solving skills. Demonstrate and exercise creativity and initiative. Ability to exercise independent judgment and to work with and maintain confidential and sensitive information. Strong negotiation, communication, organizational, and decision-making skills. Some, but limited, travel required. At least fifteen (15) years of related legal experience. Minimum three (3) years of direct supervisory experience of attorneys, paralegals, and support staff.
