Vice President - Corporate Counsel
The candidate will be structuring, negotiating and supervising the documentation of the project, infrastructure, oil and gas and corporate finance transactions involving senior and mezzanine debt and/or equity, many of which are highly structured, highly leveraged or both. Serving as a strategic partner for PPC in support of building and managing a varied investment portfolio. Building professional and working relationships with the PPC leadership team and key stakeholders. Attending to Law Department administrative matters, including outside counsel engagement and management. Tracking and monitoring regulatory trends that will have a meaningful impact on the business and strategizing with management on how to react to such trends. Occasional travel for attendance at meetings required (less than 5%). Should have 5+ years of experience, preferably with a major law firm or major financial institution. Relevant experience can include US or international representation of purchasers of private debt and equity securities; representation of developers, lenders or investors in power project or infrastructure financings; and representation of lenders in oil and gas financings. Project, energy and/or infrastructure finance experience is required. Cross-border finance experience is highly desirable. Expertise in drafting and negotiating financing agreements, credit support documents, intercreditor agreements and closing documentation. Prior experience representing (as inside or outside counsel) insurance companies, banks or other institutional investors in finance transactions will be a definite advantage. Familiarity or prior experience with the federal securities law and secured investments is also important. Demonstrated strong leadership skills and the ability to work well in an environment where coordination and teamwork with legal and business associates is a priority. Willingness and ability to work effectively with demanding PPC clients, corporate borrowers, outside counsel and other institutional investors, as well as colleagues across the Prudential enterprise, is critical. Outstanding organization and transaction management skills. Superior interpersonal, written and verbal communication skills.
