Franchise Counsel
The candidate will prepare annual and amended franchise disclosure documents for all company brands while ensuring compliance with franchise regulatory requirements. Review, draft, and negotiate franchise and development agreements and ancillary agreements (including technology agreements, tri-party agreements, amendments, assignments, and terminations) related to Extended Stay America's franchised hotels. Work closely with the Development team to identify and remove barriers to completing deals in accordance with the company's standards and policies, as well as reviewing prospective franchisee application materials, including providing summaries of findings where necessary. Provide day-to-day legal advice to numerous areas of the Company including franchising, development, hotel operations, and litigation. Advise on compliance with franchise regulatory requirements. Respond to and resolve regulatory related charges and inquires. Respond to a variety of operational issues with franchisees and owners, including quality assurance matters, and negotiating and drafting agreements relating to changes of ownership, workouts and terminations. Provide advice on proposed transactions with respect to confidentiality agreements, structuring transactions, letters of intent, tortious interference and area restrictions. Develop and maintain a library of forms related to franchise legal matters, ensuring they reflect legal requirements and best practices. Assist in establishing policies and procedures and conducting training. Negotiate, review, and draft a wide variety of commercial agreements. Perform other related duties, as assigned. A Juris Doctorate from an accredited law school. Licensed to practice in at least one jurisdiction and in good standing. Should have 5 years of franchise transactional experience required. Hospitality experience or experience with an emerging franchise brand is preferred. Proficiency with Microsoft products including but not limited to Word, Excel and PowerPoint. Ability to expeditiously identify and analyze issues and provide legally sound recommendations consistent with good business practices and reason. Strong interpersonal skills, and ability to interact effectively and work diplomatically with individuals at all levels. Ability to foster relationships and individual accountability across the organization. Excellent written and oral communication skills. Ability to identify opportunities for improvement and to facilitate the implementation of creative solutions. Ability to work independently, take ownership of, and effectively resolve problems and issues of first impression. Demonstrate the ability to perform well quickly and under pressure.
