Energy And Utility Attorney
The candidate will do documentation, negotiation, and structuring of renewable energy and utility transactions. Advise clients on alternative finance and ownership structures. Structure, draft, negotiate, and review financing documents. Advise clients on regulatory, compliance, environmental, tax issues, and policy matters related to energy and utility transactions. Represent project lenders, lessors, venture capital groups, investors, buyers, sellers, and borrowers. Represent parties in energy purchase and sale transactions. Advise clients regarding environmental due diligence related to energy and utility transactions. Complete legal support for project due diligence, loan documentation, and preparation of security instruments or guarantee agreements. Draft and negotiate leases, purchase and sale agreements, letters of intent, easements, covenants, restriction agreements (or similar title agreements), amendments to any foregoing, etc., for energy and utility transactions. Facilitate closings and complete post-closing documentation and administration. Assist in legal issues relating to project management and on-going contract support. Coordinate with other team members, including attorneys, paralegals, and staff members. Should have 3-4 years of experience as an attorney in one or more of these areas: representation of municipal and cooperative electric utilities; broadband Internet facilities and services; governmental grant and loan financing; development of renewable energy and storage projects; renewable energy project financing; renewable energy tax issues; structure of development joint ventures; power purchase agreements; renewable energy project siting; environmental due diligence; and/or environmental permitting for renewable energy and utility facilities. Demonstrated analytical and problem-solving skills. Strong verbal and written communication to effectively advocate for and work with various types of clients. Willing to learn and develop additional expertise in legal and business matters relating to the electric utility and renewable energy projects. Willing to pitch in, collaborate, and support the growing law firm in a fast-paced environment. Able to identify, resolve, and close open issues and assist client, staff, and colleagues with resolving issues that arise. Skilled at meeting strict deadlines under significant time pressure. Ability to manage time and resources effectively and independently, and balance conflicting priorities.
