Paralegal - Transactional
The candidate will be responsible for: Work closely with Company’s Associate General Counsel(s) to present contracts and any significant related issues and prepare any updates to contract templates and forms. Serve as support and liaison between Company attorneys and various business departments, by promptly responding to numerous requests/fielding questions and escalating matters as needed. Under guidance of the Senior Paralegal (manager) determine appropriate template agreement or form to implement for each commercial transaction, select applicable legal contracting entities, ensure key commercial and business terms are captured in Executive Summaries for continuity, confirm business terms are completed with specific dates and costs denoted, and that contracts meet competency standard. Draft, review, negotiate, and modify contracts for the responsible attorney’s approval in a timely and accurate manner, track progress of each request from development to execution using Company’s online contract management database system as well as edit for proper format, grammar and spelling. Support all phases of commercial contract from updating boiler plate forms and templates, to increasingly difficult task of articulating complex commercial concepts without ambiguity or conflicts in intricate and lengthy agreements (including Master Service Agreements, Procurement/Purchase, Service, Marketing, Sponsorship, Sales, Business Partners, Consulting/Speaker, Licenses, Non-Disclosure, and Confidentiality Agreements) and documents (including termination letters, amendments and Statements of Work). Under the direction of Company attorneys, resolve routine legal and contract issues. Conduct Secretary of State searches, perform legal research and analyze law sources such as statutes, case law, recorded judicial decisions, legal articles, etc. Provide direction to Purchasing Department about common legal contract concepts and specific contract requirements. Provide precise interpretation of contract provisions and draft specific language based on commercial terms and business understanding requested by Purchasing Department in compliance with Company’s regulatory guidelines. Maintain productive workflow in a fast-paced/high contracts volume environment. Organize, manage and maintain content library of all shared folders and documents such as contract templates and forms, electronic and paper based files containing resources for canned and commonly used contract clauses, special terms and conditions unique to industry-specific requirements such as software end user license agreements, and other reference materials in an effort to streamline contract process and optimize efficiency and productivity. Communicate effectively and professionally with team members at all levels (including management and executive leadership) from Company’s global properties while delivering high quality service and successful results. Maintain key internal relationships and interaction with Company’s Legal Department, and collaboration with Information Technology, Gaming, Food & Beverage, Entertainment, Sustainability, Operations, Marketing, Sales, Security, Risk Management, Finance and other cross-functional communications. Must have High School Diploma or equivalent. Should have Bachelor and/or Associates degree. Paralegal certification required. Should have 3 years of paralegal administrative and contract experience in a corporate environment or law firm (resort/hospitality or gaming industry desirable) or equivalent education. Must have comprehensive knowledge of basic legal concepts and formats, contract law and remedies and adept experience drafting and negotiating those terms in contracts ranging from vendor agreements, service contracts, ancillary documents, amendment and boiler plate forms. Should have demonstrative experience of supporting attorneys, and adaptability to diverse working styles and requirements of attorneys, as well as maintaining confidentiality of projects and sensitive information. Electronic database management experience within a legal and/or compliance services environment. Must be proficient user of Microsoft Office applications including Word & Excel (Ariba is a plus). Should have knowledge of the operating business cycle, corporate matters and be familiar with relevant standard operating policies and procedures that are typical in the resort/hospitality and gaming industry (Foreign business law knowledge a plus).
