Corporate and Business Counsel
The candidate will provide support on general corporate and SEC matters, including the Proxy Statement, 8Ks, 10Ks and 10Qs, ESG disclosures and reporting, Sarbanes-Oxley, Delaware corporate law and NYSE requirements. Collaborate with Finance, Treasury, Tax and other teams on banking and investments matters, intercompany agreements, credit agreements, cross-border business and tax planning, and internal controls. Support M&A and strategic corporate transactions, including conducting and coordinating due diligence, drafting term sheets and agreements, managing closings and post-acquisition integration, and effectively managing external advisers. Negotiate procurement agreements, including raw material supply, master services, manufacturing and consulting agreements. Analyze and negotiate commercial agreements, including sales and distribution, confidentiality and material transfer agreements. Coordinate with business counsel in the development of key commercial agreements and legal strategies, while continuing to implement and improve standard T&Cs to achieve business goals. Research and evaluate risk factors from a legal perspective regarding business decisions and operations; provide legal advice and support to internal stakeholders. Engage stakeholders with contracting practices and risk mitigation strategy. Ensure contract negotiation compliance with FMC’s corporate contract principles, with directed legal guidance focused on the protection of FMC’s intellectual property. Issue spot and effectively and clearly communicate compliance obligations, on a global and country basis. Develop and lead compliance-related training for functional and commercial teams. Provide guidance to corporate paralegals supporting and maintaining the U.S. and global subsidiaries. Perform other duties as assigned or required.
