Assistant General Counsel

The candidate will support the investment teams on due diligence matters and participate in the review and negotiation of various transaction documents. Assist portfolio companies with corporate governance, transactional matters and cap table management, including preparation and review of employee-related agreements and incentive equity programs. Monitor Compliance Program on an annual and quarterly basis and address day-to-day compliance issues as they arise. Participate in the fundraising process of private equity funds and co-investment vehicles. Manage subscription intake and closing processes. Attend to day-to-day operational matters, including project-based requests from General Counsel and investment, accounting, marketing and investor relations teams. A Juris Doctor (J.D.) from an accredited law school is required. Bachelor’s in Business Administration, Economics, Finance or Accounting preferred. Should have 4-6 years of experience with 3 years of experience at a prominent national law firm or in-house at a private equity investment manager. Experience in private equity transactional matters is required. Working knowledge of SEC compliance is strongly preferred.
