Corporate Governance and Securities Specialist

The candidate will create and manage corporate calendars, checklists and compliance programs to maintain compliance with SEC reporting, corporate governance, and other regulatory requirements. Support the administration of Board of Directors, including preparation of agendas and materials. Support the preparation and filing of SEC documents including 10-K, 10-Q, 8-K, and annual proxy statement. Assist in drafting and submission of Section 16 filings. Assist in drafting board, board committees, and stockholder resolutions and consents and materials for board, board committees and stockholder meetings. Manage various subsidiary matters, including preparation and filing of documents required for formation, governance, foreign qualification, withdrawal, merger, and dissolution of corporations, limited liability companies, partnerships, and other legal entities (including coordination with local counsel for non-US entities). Maintain corporate minute books. Assist with Director and Executive Officer questionnaires, proxy materials, and annual meeting preparation and documentation. Assist with administration and updating of compliance programs, including administration of insider trading compliance. Partner with our Stock Plan Administrator on matters including sales of restricted stock, equity plan oversight (ensuring consistency across our transfer agent, equity plan administrator, and broker), and administering our insider trading and pre-clearance program. Serve as an internal resource for information regarding corporate records, organizational structure, and other governance-related items, including compiling responses to audit and diligence requests. Work closely with, and often in direct support of, internal clients in the finance, accounting, tax, and payroll, including with their regulatory and compliance filings. Interface with Board members and senior executives in relation to the above matters. Potential to provide oversight and training to junior team members.
