The candidate assists with providing legal counsel associated with the acquisition and development of new restaurant locations. Serve as the overall legal project manager for each new restaurant deal in the assigned territories. Review letters of intent, site plans and other new deal materials, engage and monitor outside counsel, including follow up on deliverables and responding to requests. Research the scope of real estate interests, including easements, needed to order title commitments on all appropriate parcels and then order and manage receipt of title commitments and updates as needed. Engage environmental counsel, review and provide all environmental reports and documents, conduct bi-monthly calls with environmental counsel without in-house counsel involvement and serve as environmental counsel’s primary in-house contact; review environmental memos from environmental counsel, facilitate identification and resolution of environmental issues and notify in-house counsel of any open issues requiring attention. Review contract abstracts and title summaries and ensure legal issues have been identified and resolved by preparing summaries and issues lists prior to the expiration of the inspection period and then again prior to closing or lease commencement to facilitate resolution of any outstanding issues. Ensure legal meets any critical legal dates. Maintain organized and complete electronic real estate file and original documents file for each new restaurant deal in the assigned territory. Draft correspondence and routine contract documents. Foster positive relationships between and collaborate with outside counsel, title companies, various Restaurant Development teams at Chick-fil-A as well as other sub-departments within the Legal department. Comprehensive Commercial Real Estate knowledge and experience including title and survey review. Excellent analytical and critical thinking skills and good judgment. Ability to prioritize and manage multiple ongoing projects with limited supervision. Excellent verbal and written communication skills. High proficiency in Microsoft Office applications as well as aptitude and desire to learn new software including property management database systems. Paralegal certification preferred. Experience working in the commercial real estate practice group of a large law firm or commercial real estate department at a large company handling sophisticated commercial real estate projects preferred. Experience drafting real estate closing documents preferred. Experience drafting purchase and sale agreements and leases preferred. Requires experience and expertise in all aspects of commercial real estate transactions, including understanding the deal lifecycle, title and survey review, environmental due diligence, real estate documents and acquisition closing and lease commencement process. Requires the skill and proficiency to substitute for the in-house attorney, including managing outside counsel, issue spotting and knowing when matters need to be brought to the attention of in-house counsel.
