Job Description

Job Title: Associate Attorney
Individual Contributor
Department: Legal
Reports To: Vice President, Legal Affairs
Location: San Francisco

Function: Provide corporate legal services applying both legal expertise and business acumen for all corporate entities as directed.

Duties and Responsibilities:

  • Report and work with the Vice President, Legal Affairs and senior executive management team to support contractual agreements of the company across all areas of business including: customer agreements, financing arrangements and corporate documents.


  • Provide legal advice on business matters, keeping up to date with changes in critical aspects of the law that affect the company.  


  • Review, draft and negotiate a wide range of agreements including customer equipment lease and sales, debt financing, assignments, guaranties, procurement from equipment manufacturers, vendor services, logistics cargo movement agreements, NVOCC activities, receivables, disputes, settlements and office facilities.
  • Provide legal support for standard corporate agreements including non-disclosure, employment, agency and confidentiality.


  • Work closely with outside counsel and other parties, commenting upon changes to agreements and coordinating deal closings.


  • Establish and maintain proper licenses and certifications for the business operations for all entities.


  • Participate in due diligence, draft closing documents, e.g., certificates, resolutions, and closing binders.
  • Coordinate Annual Report and Proxy design, production and distribution.


  • Support the corporate secretarial function including coordination of signatures, drafting and approval of minutes and filings, maintenance and update of minute books, board composition documents and material contract files.


  • Other duties as assigned.

Qualifications and Preferences:

  • 3+ years’ post qualification experience handling corporate matters in-house or at a law firm
  • Experience with a combination of debt financing, mergers and acquisitions, corporate governance and regulatory compliance preferred.
  • Ability to read, analyze and interpret complex documents and to effectively communicate them in plain English to others.
  • Ability to draft, edit and negotiate agreements.
  • Ability to prioritize tasks and complete work within deadlines provided.
  • Excellent written and verbal skills, strong organizational skills and keen attention to detail.
  • Ability to work independently and collaborate effectively.
