Senior Commercial Counsel
The candidate will partner with the members of the contracts admin team on drafting, reviewing, and modifying contracts with vendors and clients. Collaborate with team members to provide advice and professional guidance on risks and suitability of contracts toward the attainment of company goals. Provide general legal advice to members of the legal team and assist with corporate compliance initiatives. Verify all documents and contracts to ensure they meet high levels of quality and accuracy. Support the development of templates, internal policies, and guidelines for contract management Assist the Manager, Contracts Admin as needed to support growth. Researching rules and regulations, best practices, and alternative approaches. Drafting, reviewing, and negotiating complex commercial agreements, including large customer agreements, vendor agreements, and partner agreements. Developing corporate policies, contract templates, and other materials. Provide Support for business departments as needed, including HR, Real Estate, dispute resolution, product, and data privacy needs. Completing projects to improve legal processes and facilitate collaboration. Participate and develop skills and interest in Legal Department management. Should have J.D. from an ABA-accredited school and bar membership in at least one U.S. jurisdiction; 5-7 years of relevant in-house or law firm experience; highly developed written and oral communication skills; strong organizational skills and ability to prioritize multiple tasks; familiarity with and interest in technology and software-related concepts; experience with international licensing requirements; ability to summarize key legal and business issues and propose a practical alternative.
