Technology Transaction Counsel
The candidate will be drafting, reviewing, and negotiating agreements to acquire or commercialize intellectual property, technology, products, and services, including in-bound/OEM and out-bound strategic license agreements, development agreements and other agreements that provide third-party components for product development and commercial distribution. Working closely with the relevant business teams through product development and sales cycles. Reviewing and assessing open-source licenses. Evaluating intellectual property and related agreements to support M&A due diligence review and strategic alliance activities. A J.D. from an ABA-accredited law school and admitted to practice law in at least 1 state. Should have 5+ years of experience practicing law with experience negotiating inbound and outbound licensing agreements, software-as-a-service (SaaS), cyber security, or data privacy agreements. General knowledge of software technology, such as simulation or data analytics software and intellectual property laws. Practical understanding of open-source licensing. Ability to engage with business team members at all levels. Excellent interpersonal and problem-solving skills and abilities. Ability to counsel and support corporate development teams through new product development and commercialization.
