This position will work directly with and aid the General Counsel and other Legal Counsel in several key areas including contract review, file and document management, report preparation, information gathering, record maintenance, litigation support and payables input in contributing to the overall success of the legal department and company as a whole.



Paralegal and administrative duties and responsibilities:

●          Assist all Counsel in scheduling, preparing for corporate meetings, court matters, filings and other deadlines and as otherwise directed.

  • Review and prepare draft of initial changes for contract reviews.  Assist with tracking of contract reviews and printing of contracts and filing completed reviews. 
  • File annual reports for all state corporate entities and formation of new corporate entities.  Handle new qualifications and withdrawals as needed.  Assist in preparation of routine minutes or stock transactions for Board of Directors/Shareholder actions.  Primary contact with registered agent.

●          Work with all Counsel to assist in management and/or review draft of answers and other pleadings by outside counsel.

●          Maintain a case file indexing system to archive all on-going and completed cases.

●          Maintain litigation and other files daily.  Review and disseminate incoming correspondence and pleadings.  Maintain reports on budgets, reserves, new and concluded matters, and costs expended in litigation.  Assist in gathering information regarding cases.  Maintain up to date budgets on all cases and prepare requests as needed.

  • Assist Home Office and Branch offices in responding to subpoena and garnishment requests.  Assist with the filing of claims in bankruptcy courts.  Provide pre-qualification information as needed by Home Office and Branch offices.
  • Aid Branch Offices on legal forms available on Intranet, and update forms as necessary. 
  • Maintain real-estate files involving leases and property owned by affiliated partnerships and LLC’s.
  • Perform legal research at direction of all Counsel.
  • Review and distribute all incoming mail.  Prepare and process invoices for payment including departmental expense reports. Maintain departmental files by keeping them in good form and preparing closed files for storage.  Assist with legal training seminars which include the preparation of training books, selected presentations and hotel arrangements.  Other routine administrative matters such as answering phone, taking messages, copying or typing documents, travel arrangements, etc.
  • Accomplish special projects as assigned.



  • BA or Associate Degree in Paralegal studies is preferred but not required if paralegal work experience instead
  • Corporate Legal, Construction and/or contract experience is a plus but not required
  • Some legal experience a requirement
  • Certified Notary Public preferred or willing to become one with company sponsorship
  • Strong written and verbal communication skills
  • Strong research and report-generating skills
  • Proficient in Microsoft Word, Excel
  • Good organizational skills
  • Ability to work with little supervision and handle several projects simultaneously
  • Ability to work with all levels of employees and varied customer base
