The candidate will assist in preparing the Company’s public disclosure documents, including SEC periodic reports such as 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 filings, and other SEC-related documents. Work closely with senior leadership and investor relations regarding SEC periodic reports and participate in disclosure committee meetings. Assist with public company communications, including press releases and investor presentations. Assist with the administration of the Company’s Insider Trading Policy, 10b5-1 plans, and related employee and director equity matters. Support public company secretarial function, including preparing materials for the Company’s board of directors and related committees. Support Internal Audit with SOX compliance matters. Assist with the Company’s Annual Meeting of Stockholders. Support mergers and acquisitions activity and related commercial arrangements. Should have 5+ years of relevant experience in securities and corporate governance matters, SEC periodic reports, and securities law compliance; in-house experience is a plus. Juris Doctorate Degree from an accredited institution with excellent academic credentials. Active member in good standing with the Massachusetts Bar, or ability to be admitted as in-house counsel in Massachusetts. Experience in the corporate securities practice of a law firm or at a publicly-traded company is needed. Should be highly organized and able to work both independently and as a member of a team. Excellent written and verbal communication skills, attention to detail, good business judgment, and the ability to handle multiple projects simultaneously.
