Associate General Counsel- Banking and Transactional
The candidate will be responsible for transactional and banking regulatory matters at the Bank. Will also require that effective advice on Bank legal strategies and implementation be provided across departments, to senior management, and as needed, to the board of directors. Assume responsibility for ensuring that the Bank conducts its business in compliance with applicable federal and State of Utah banking laws and regulations. Participate in the definition and development of corporate policies, procedures, and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters. Develop strategic partnerships and joint ventures to offer new financial products to the public. Negotiate, draft, and review the Bank’s third-party contracts. Identify and resolve legal and business issues related to new and existing partners, products, and services. Have a thorough knowledge of all aspects of the Bank’s business, partners, and transactional documents pertaining to the Bank’s activities. Assist in cross-functional due diligence of potential partners. Perform legal research, prepare and render legal opinions. Present reports and recommendations regarding legal matters. Selection, retention, management, and evaluation of all outside counsel. Other areas as interest, availability, and ability permit.
