Assistant General Counsel
The candidate will assist Legal department management in providing legal counsel and advice to Executive management, officers and employees with respect to Company operations and in drafting, reviewing and advising with respect to corporate documents and agreements. Provide legal counsel and advice to Executive Management, Officers and employees on matters of law and regulation relating to the Company, its subsidiaries and their operations. Draft and review corporate documents and agreements and advise appropriate personnel with respect to the protection of the Company or the implementation of Company objectives. Provide legal counsel and advice regarding matters of corporate governance, product development, compliance, market conduct, claims and customer service issues. Provide legal review of Company advertisements and publications. Assist appropriate personnel with analyzing and interpreting newly enacted or proposed legislation and regulatory and judicial mandates. Draft policies and procedures and assist with implementation of compliance initiatives. Assist in litigation matters. Negotiate, obtain, and maintain property/casualty insurance to mitigate Company risk exposure. 3 years law practice required. Experience with corporate law, contract law and litigation preferred. Regulatory compliance experience, including law and regulation interpretation. Knowledge of insurance law (life and annuities with particular competence in the New York Insurance Law); corporate law; employment law; intellectual property law; litigation practice and procedure; securities and investments; trusts and estates law. CLU, ChFC (can be obtained while in the position). Should have Juris Doctor Degree; Admission to New York State Bar; BA or BS four-year College Degree.
