Supervising Associate Counsel

The candidate oversees the management of the Legal Services Department and its day-to-day affairs. Plans, organizes, and coordinates department activities within established guidelines to meet state, regulatory, and organizational deadlines. Manages the process for appointing Board and Standing Committee Members, Officers, their Appointments and Re-appointments. Oversees administration of the Board’s Conflict of Interest Code, its maintenance, and other updates to ensure Board members and Staff comply with its requirements. Coordinates with outside counsel on pre-litigation activities and conducts pertinent legal research and review on the Alliance’s litigation strategy pertaining to active legal affairs. Acts as a liaison with state, federal, county, provider, delegate, and outside counsel regarding their affairs and relevant legal matters pertaining to Alliance business. Keeps abreast of and assess potential legal risks on both state and federal legislative and regulatory changes. Maintains up-to-date applicable knowledge of both California and Federal health laws, including Medi-Cal Managed Care, Medicare D-SNP, provider contracting, immigration and labor/employment laws. Conducts legal and factual research necessary to draft and analyze various contracts, policies, other documents, and to advise internal stakeholders. Provides thoughtful, creative, timely counsel internally on health care laws including those related to privacy, security, Medi-Cal/Medicaid, and Medicare. Negotiates, drafts and/or reviews and revises contracts, agreements, or other legal documents, as necessary, MOUs, NDAs, BAAs, and DPAs. Serves as the custodian of records; oversee the receipt and processing of public requests for information, summonses, and subpoenas; ensure that deadlines and legal requirements. Works closely with internal stakeholders on vendor contracts and other projects on an ad hoc basis. Handles settlement negotiations, Government Claims Act, third party payment demands, disputed claims, contractual nonperformance issues and contract terminations. Handles all Public Records Act requests, subpoenas, meet and confers as well as corporate governance matters. Collaborates with Alliance business owners to negotiate favorable terms with external business partners. Evaluate and coordinate with the CCO/CPO to weigh multiple inputs and the impact of any decision or course of action. Coordinate and assure timely filing of annual Statements of Economic Interest (Form 700). Develops and maintains relationships with internal and external stakeholders and parties, including state regulators, based on trust and respect. Establishes annual legal goals and objectives including success metrics. Sets internal governance policies and manage the impact of external factors as applicable. Works closely with the Alliance Compliance team on regulatory issues, DHCS and DMHC audits and filings. Communicates with regulatory agencies to submit and seek approval of filings and responses to audits and examinations. Monitors and evaluates employees and prioritize and assign work, as necessary. Completes other special projects and duties as assigned. Juris Doctorate Degree from an accredited law school is required. Master’s Degree in Healthcare or BS in Business or health related studies is preferred. Should have 6+ years’ experience as a practicing licensed attorney and has acted as senior counsel on legal projects and matters. Including 2+ years of specializing in healthcare contracts of experience as in-house counsel is required. Experience in an HMO or as counsel to a health system, hospital, government unit, or a health care law firm practice is required. Supervisory experience with front line legal staff is preferred. Experience in and knowledge of public entity laws including the Brown Act, Political Reform Act and Public Records Act is preferred. Experience working with Regulatory agencies including DHCS, CMS, and DMHC along with county organizations and Local Initiatives is required. Must be admitted to and in good standing with the California Bar.
