Responsibilities: Provide legal counsel on variety of issues including transactional matters, legal compliance and corporate record keeping. The position will serve a broad spectrum of business units and functional areas, including API manufacture & supply, research & development, information technology, finance, distribution and sourcing. Draft, negotiate and review commercial contracts, including supply & distribution agreements, research and development agreements, licensing agreements in support of product development, technology service agreements, consulting agreements, confidentiality agreements and other business and legal documents. Advise management of potential risks in contractual, financial and legal areas and propose risk mitigation strategies. Serve as Secretary of applicable US subsidiaries, prepare and conduct Board meetings, maintain Corporate Books and Records. Assure compliance with international, federal, state and local laws and regulations applicable to the company’s operations and activities. Assist in implementing, improving and reviewing legal processes and procedures.
