The General Counsel will serve as a member of the executive management team for the Hornblower family of companies. Independently and collaboratively, the General Counsel lead a three-person legal team providing leadership and guidance surrounding a broad range of legal matters affecting day-to-day business operations including corporate contracts, customer contracts, real estate and environmental matters with private and regulatory agencies, company policies, litigation, audits, human resource and employment issues.

The General Counsel is a highly trusted advisor across all business lines who takes pride in developing a world-class legal team with a collegial spirit and passion for delivering amazing experiences – internally and externally.  Reporting directly to the CFO, the General Counsel will perform and manage all legal aspects of the company and provide strategic advice and support for operations and management. This position is an excellent opportunity for a senior level legal practitioner seeking work/life balance. Position specific responsibilities:

  • Develop and lead the company’s policy, regulatory, contract and compliance programs.
  • Draft, review, negotiate and interpret agreements in support of various company departments, e.g., finance, human resources, IT, engineering, maintenance, and advise on contract status, legal risks, and liabilities.
  • Collaborate across the organization to ensure the company is in compliance with all relevant data privacy regulations.
  • Ensure company-wide understanding and compliance as it relates to federal contracts and service contracts.
  • Assist in negotiation of merger/acquisition/joint venture transactions and provide due diligence support.
  • Oversee and direct the activities of the company’s legal team, including the Associate General Counsel and in-house Employment Attorney.
  • Interact with local, state, and federal regulatory agencies.
  • Collaborate with company affiliates to leverage best practices and seek economy of scale as appropriate and relevant to business needs.
  • Stay abreast of relevant laws and regulations impacting the company, including those related to the maritime and hospitality industries.
  • Coordinate and manage external law firms, ensuring efficient, timely, and accurate work product and results.
  • Investigate and research claims by and against the company, and proactively anticipate and guard against legal risks facing the company.

Desired background:
Minimum Qualifications:

  • JD from an accredited law school.
  • Admitted, in good standing, and licensed to practice in the State of California.
  • A minimum of 10 years of experience, preferably with a combination of law firm and in-house experience.
  • Experience and knowledge in risk management and evaluation.
  • Strong organization skills and attention to detail with an ability to manage priorities and workflow.
  • Excellent written and oral communication skills with the ability to convey positions in a clear, concise and effective manner.

Preferred Qualifications:

  • Experience with environmental, transportation, maritime or other heavily regulated industries strongly preferred.
  • Able to balance legal risk with business objectives.
  • Able to anticipate potential problems and develop mitigation strategies in advance.
  • Strong judgment, attention to detail, interpersonal and communication skills, with demonstrated teaming ability to work well with, influence, and inform diverse groups, including peers and clients.
