The candidate should have 4-7 years of experience working with public companies in the following areas: 1934 Act compliance (10-K, 10-Q, 8-K, and proxy matters together with 13D and 13G and Section 16 reporting); 1933 Act registrations (initial public offerings, secondary offerings, S-8 matters); Public company private offerings including PIPES; Public company acquisitions including S-4 registration statements and joint proxy compliance; and corporate governance matters. Must be a self-starter who possess the ability to work independently and as part of a team. Previous large law firm experience, strong academic credentials, excellent communication skills, and a commitment to providing the highest quality client service required.
