Associate General Counsel; Fund/ Compliance Attorney
The candidate will report to directly to AAMC’s General Counsel and have significant interaction with the Co-Chief Executive Officer of AAMC in charge of these business initiatives. The lawyer will have significant interaction with all business and IT units. The lawyer will be also be heavily involved with AAMC’s disclosure process to the SEC, both as a publicly traded company and a RIA. The role will involve coordination with the General Counsel in providing legal advice on contracts, non-disclosure agreements, fund administration, investor level documentation and compliance and investment protocol. In particular, the role is expected to involve analyzing, reviewing, negotiating, structuring and approving matters relating to the offering and distribution of investments. The attorney will also manage compliance, risk and regulatory controls over AAMC’s new business initiatives and coordinate with operations and IT personnel to address business needs and regulatory changes, as well as identify legal and other risks. Structuring and formation of sophisticated private investment funds, including venture capital, private equity, hedge, real estate and other similar funds; Advising on legal obligations arising in connection with corporate governance, investor relations, fund raising and investing activities; Reviewing marketing materials and investor presentations (including track record data as they develop); Reviewing early stage transaction documents (NDAs, term sheets, agreements) where external legal counsel has not yet been engaged and/or to manage external counsel on the more complex aspect of transactions; Advising businesses and coordinating responses with respect to any regulatory examinations or inquiries, review and updates to the Compliance Manual, employee reporting (including with respect to personal trading activities, compliance and disciplinary disclosures and conflicts of interest); Reviewing and negotiating client account documentation related to investment product and services and ongoing corporate communications; Reviewing and interpreting relevant statutes, rules and regulations applicable to investment and fund management products and services; Advising on contentious matters relating to investment products, working closely with the General Counsel and external counsel, as necessary. Reviewing new technology and tools relating to the offering of AAMC’s investment products. 5 years relevant experience working on fund, real estate and/or wealth management matters with a top quality law firm and/or in-house experience with a financial services firm, including in the structuring and formation of sophisticated private investment funds, including venture capital, private equity, hedge, real estate and other similar funds. Should have experience with U.S. securities and other laws, including the Investment Advisers Act of 1940, as amended, Securities Act of 1933 (including Regulation D), the Securities Exchange Act of 1934, and the Investment Company Act of 1940, in each case as they relate to private placements, registered closed-end funds and onshore and offshore alternative investment funds. Experience on broker-dealer/FINRA matters a plus, along with related experience with applicable ERISA and tax issues. Should have experience in managing complex transactions and projects and must be able to work independently when needed and, also, collaborate with cross functional groups. Professional maturity, confidence, presence and initiative are required. Experience with relevant corporate, partnership and LLC laws are required. Ability to work collaboratively as well as independently are required. Ability to handle a variety of matters simultaneously to meet client demands. Excellent research, drafting, writing, communication and interpersonal skills. Excellent judgment and analytical skills are required. Excellent oral and written communication skills are required. Strong management and administrative skills are required. Bachelor’s Degree with a strong academic record. JD required. Active Legal License in at least one state are required.
