Executive Compensation Associate Attorney

A law firm located in Indianapolis, IN, is seeking an experienced Executive Compensation Associate Attorney. The ideal candidate should have 5-10 years of experience in sophisticated work, including drafting and providing advice on equity and executive compensation plans and awards. The role also requires expertise in public company governance and disclosure related to executive compensation, as well as addressing other executive compensation issues such as those connected to mergers and acquisitions or employment agreements. While experience in broader employee benefits, tax, corporate, and/or securities at a large law firm is preferred, essential qualities for this role include excellent writing skills, meticulous attention to detail, a proactive "can-do" attitude, strong problem-solving capabilities, intrinsic motivation, the ability to work collaboratively, and strong academic credentials.

Duties:

• Draft and provide expert advice on equity and executive compensation plans and awards.
• Offer counsel on public company governance and disclosure related to executive compensation.
• Address various executive compensation issues within the context of mergers and acquisitions or employment agreements.
• Collaborate with legal teams and clients to navigate complex executive compensation matters.

Requirements:

• 5-10 years of relevant experience in the legal field, with a specific focus on executive compensation.
• Proficiency in drafting and advising on equity and executive compensation plans and awards.
• Familiarity with public company governance and disclosure related to executive compensation.
• Preferred experience in broader employee benefits, tax, corporate, and/or securities at a large law firm.
• Excellent writing skills and meticulous attention to detail.

• Strong academic credentials.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Active membership in the Indiana State Bar Association or the ability to obtain it.
