Chief Legal Counsel
The candidate will be responsible for: Develop and lead the legal strategy to promote and protect company. Oversee and leads legal counsel and other members of the legal department, providing advice to senior leadership and the Board of Managers of company. Oversee delivery of legal services and resources to accomplish goals, strategies and priorities. Assists the CEO, senior leadership and Board of Managers with governance, compliance and tax-exempt status. Coordinates the defense and/or prosecution of all litigation and claims including allegations of medical malpractice and employer disputes. Reviews laws and regulations for potential impact on, and compliance by, the Network and assures effective communication to all constituents. Coordinates effective and efficient representation in all transactions including financial offerings, real estate, managed care and supply chain. Manages and directs the Network’s captive and other insurance programs. Effectively represents the system to inside and outside constituents and patients through community service, formal presentations. Works collaboratively with Chief Compliance Officer to ensure the Network complies with all legal and regulatory requirements. Responds to all governmental inquiries and investigations, directing defense of any claims and litigation. Negotiate or approve contracts or agreements with suppliers, distributors, federal or state agencies, or other organizational entities. Conduct or direct investigations or hearings to resolve complaints or violations of laws or testify at such hearings. Attend board meetings and help the board understand any legal implications of the strategic planning process. Performs other job related duties as assigned. Must have Juris Doctor (JD) from an American Bar Association accredited law school. Should have 10+ years of healthcare legal experience. Must have substantial experience in all major laws and regulations governing the day-to-day operations of a large healthcare system (i.e., Stark, Anti-Kickback, Antitrust, ACA, CMS, tax-exempt regulations, HIPAA and EMTALA). Member of Texas State Bar or member in good standing of the State Bar of another state or District of Columbia. Previous experience as a General Counsel/Chief Legal Officer in a complex healthcare environment preferred.
