Corporate Counsel (Investments)
The candidate will work closely with the investments team on distressed investments and special situations arising from portfolio holdings of equity, taxable fixed income, and municipal securities. Work will include bankruptcies, out-of-court restructurings, and purchases and sales of securities of distressed companies. Be part of a team that provides day-to-day legal support to all aspects of Lord Abbett’s investments team. Review, negotiate, and manage various agreements, including transactional documentation, ISDAs, trading agreements, buyer representation letters, confidentiality agreements, as well as technology and other corporate agreements. Offer legal counsel to promote compliance with applicable laws and regulations and respond to regulatory inquiries and examinations. Interpret, analyze, and provide guidance on major regulatory reforms and partner with the Compliance Department on compliance initiatives. Sustain an awareness of existing and proposed regulatory initiatives, industry trends, and best practices. Strong communication and organizational skills in addition to core legal competence. The role involves complex interactions with internal colleagues and external counterparts and is suitable for a candidate looking for a significant level of responsibility and business interaction. Extensive knowledge of the regulatory framework governing investment advisers, including the Investment Advisers Act of 1940. Extensive knowledge of securities laws including the Securities Act of 1933, the Securities Exchange Act of 1934, and other relevant laws and regulations are required. Excellent academic background, including a Juris Doctor degree from a well-respected law school. At least 5 years of relevant experience as an attorney; law firm experience is required, and in-house experience is strongly preferred. Ability to handle multiple tasks, take on new responsibilities, and prioritize work in a deadline-intensive environment are required. Excellent communications skills, including the ability to distill and explain technical and/or complex matters to non-lawyers. Influence and presence to gain credibility with and the respect of key internal and external constituencies, including his/her manager, colleagues, and senior business leaders are required. Active listening skills, including the ability to attend to the concerns of senior managers and business leaders are required. Strong team orientation; values and emphasizes cooperation and teamwork across functional areas are required. Ability to function autonomously are required.
