Senior Corporate RWI Attorney

Job Overview: A law firm in New York City, NY, is seeking a Senior Corporate RWI Attorney to provide expert guidance and advisory services in the field of Representations and Warranties Insurance (RWI) to internal corporate/M&A counsel. The ideal candidate should possess a deep understanding of corporate and mergers and acquisitions (M&A) law, as well as significant experience with RWI products. They will play a pivotal role in maintaining and expanding the firm's expertise in RWI while fostering valuable relationships within the RWI industry.

Duties:

• Advise internal corporate/M&A counsel on the selection and negotiation of RWI for transactions.
• Stay updated on practice and commercial trends in the RWI industry.
• Maintain a comprehensive library of RWI policies and commercial terms.
• Manage a high volume of RWI matters, including organizing underwriting calls, specialist consultations, and client requests in real time.
• Organize and maintain a database of policies, policy terms, and other relevant information related to the RWI practice.

Requirements:

• A minimum of 6 years of corporate and mergers and acquisitions experience at a major law firm.
• Significant experience with RWI products.
• Experience as a broker or underwriter in the insurance industry is beneficial.
• Strong commercial judgment and the ability to provide sound legal advice.
• Desire to become an industry-leading expert in advising insureds on RWI matters.
• Ability to build and nurture relationships with lawyers within the firm and industry participants, such as brokers and underwriters.

Education:

• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to the New York State Bar or eligibility for admission.

Certifications:

• Bar membership is in good standing with the New York State Bar Association.

Skills:

• Exceptional knowledge of corporate and M&A law.
• Proficiency in RWI concepts, products, and industry practices.
• Strong organizational skills to manage a high volume of RWI matters.
• Excellent communication and interpersonal skills to build relationships with lawyers and industry professionals.
