Director of Technology Transfer and Chief Intellectual Property Officer
The candidate serves as the Chief Intellectual Property Officer, with delegated authority to act as the institutional representative for all technology transfer and commercialization matters, including review and signature authority for all License Agreements, Material Transfer Agreements (MTAs), Non-Disclosure Agreements (NDAs), Confidential Disclosure Agreements (CDAs), Data Use Agreements, Memoranda of Understanding (MOUs) for Intellectual Property, Invention Reports, Intellectual Property Term Sheets, Option Agreements, Inter-Institutional Agreements (IIAs), and Patent Management Agreements, covering all other agreements related to the development of intellectual property under funded research and sponsored programs. The director reports to the Vice President for Research (VPR) and works closely with the VPR and the Director of Commercialization of the company to promote, protect, and commercialize university inventions and to manage the university’s portfolio of intellectual property cases. Accordingly, the Director reports directly to the Vice President of Research and oversees the entire Office of Technology Transfer. The Director’s duties include, but are not limited to: Evaluating inventions for patentability and marketability; developing and executing commercialization strategies for inventions; encouraging and assisting invention disclosures by faculty; educating faculty, staff, and students on the role and processes of technology transfer and intellectual property development, management, and agreements, including developing and presenting training and informational workshops to internal constituents; setting and interpreting technology transfer policies, managing interactions with the General Counsel’s office and outside patent counsel for intellectual property protection through patent filing, prosecution and maintenance; participation in start-up company formation strategies and decisions; marketing inventions to industry; negotiates industry-sponsored research, non-disclosure, material transfer, options, license and other technology transfer agreements consistent with University policies, procedures and guidelines as applicable, including compliance with State and Federal law; managing the invention database and electronic records; developing and maintaining the Office of Technology Transfer’s website; supervising and directing junior licensing professionals and student workers. Work to stimulate and facilitate invention disclosures, identify and patent new inventions, copyright original works including software. Negotiate and implement licenses to develop or commercialize WSU technology-based IP and copyright material. Create and implement management and marketing plans to protect and commercialize new inventions, software and other intellectual property developed by faculty, staff and students. Review and negotiate non-disclosure, material transfer, sponsored research and other intellectual property-related agreements. Actively promote opportunities for entrepreneurial activities throughout the university (including formation of technology-based start-up companies, interaction with regional incubators, and access to early stage venture capital). Work with industry, government and commercialization partners to increase awareness of research and development activities at WSU and stimulate external funding for these activities. Present workshops and advice to educate faculty, staff, and students on technology transfer processes and commercialization.
