Senior Director, Associate General Counsel
Duties: Provide legal advice and support on mergers, acquisitions, divestitures, joint ventures, investments (including corporate venture capital and other strategic investments), and corporate finance transactions. Collaborate with the business and legal teams in structuring transactions; identifying risks and concerns while presenting potential alternatives and solutions to challenging deal matters and business issues. Deal management for entire deal lifecycle from NDA through integration. Draft, negotiate and review key transaction documents, with outside counsel support as appropriate. Coordinate and lead legal due diligence and review for potential acquisitions and strategic investments, working collaboratively with business unit counsel and cross-functional teams. Selection, management and oversight of outside counsel. Develop strong working relationships across the enterprise with senior management, cross-functional peers and other business stakeholders, including those in Tax, Treasury, Finance, Accounting, HR, Risk and Compliance departments, as well as external advisers. Draft board resolutions for approval of corporate transactions. Assist with corporate projects as necessary.
